Terms of Use
These Terms of Use govern access to and use of the corporate websites of Territory Holdings, Inc. (“Territory Holdings,” “we,” “us,” or “our”), including territory-holdings.com and the investor-information resources it provides (together, the “Site”).
Please read them alongside our Privacy Policy, which explains how information submitted through the Site is handled.
Acceptance of these terms
By accessing or using the Site, you agree to these Terms of Use and to the Privacy Policy. If you do not agree, please do not use the Site.
Separate agreements — offering documents, confidentiality notices, or signed contracts — govern the matters they address and are not replaced by these Terms (see Sections 6 and 20).
About Territory Holdings
Territory Holdings, Inc. is a Delaware corporation and holding company that builds, owns, and supports a portfolio of category-specific outdoor-access platforms connecting people with private land, private water, hosts, operators, and outdoor experiences. AnglerPass is its first active platform; other platforms are in development or under consideration.
- Portfolio descriptions, roadmaps, names, concepts, and launch plans presented on the Site may change.
- Territory Holdings does not provide the AnglerPass consumer service through this Site. The consumer booking, club-membership, land-access, guide, and payment services offered through AnglerPass are operated by Angler Pass LLC and governed by the separate AnglerPass Terms and AnglerPass Privacy Policy.
- Investors invest in Territory Holdings, Inc., the parent company — not directly in AnglerPass.
Informational purpose
Materials on the Site are provided for general corporate, portfolio, and informational purposes. Information may be preliminary, incomplete, historical, forward-looking, or subject to change without notice.
The Site distinguishes what is operating today from what is planned: territory pages and roadmaps for platforms that are in development or in survey describe intended platforms, not operating services. Territory Holdings does not warrant that every proposed platform, feature, market, milestone, launch date, strategy, partnership, conservation commitment, forecast, or commercial plan will be completed as described. Section 12 addresses forward-looking statements.
No offer or solicitation
Nothing on the general public pages of this Site, by itself, constitutes an offer to sell or a solicitation of an offer to buy securities. Any securities offering, if made, will be made only through the applicable offering materials, agreements, disclosures, and authorized investment process, and in compliance with applicable securities laws. The securities described by Territory Holdings have not been registered under the Securities Act of 1933.
- The public pages of this Site are separate from the official offering process. Expressing interest through the Site is an inquiry, not a transaction.
- An indication of interest is nonbinding unless and until the applicable definitive documents are executed and accepted.
- Territory Holdings may accept, reject, reduce, or condition an investment request as permitted by the applicable offering documents and law.
- Availability of any offering may depend on residency, investor status, offering exemptions, verification, allocation, and other requirements.

Information on the Site is not investment, legal, accounting, tax, or financial advice, and no statement on the Site should be interpreted as a recommendation. Consult your own qualified advisors before making any investment decision.

- No statement on the Site is a guarantee of valuation, liquidity, distributions, appreciation, revenue, profitability, acquisition, public offering, or investor return.

Offering documents control
If anything on the Site conflicts with an executed or official document — including a SAFE, subscription agreement, offering memorandum, regulatory filing, investor questionnaire, financing or transaction document, stockholder agreement, certificate of incorporation, bylaws, transfer-agent record, or any other definitive agreement — the applicable executed or official document controls.
Territory Holdings, Inc. is the issuer of its securities. Third-party platforms used to prepare, sign, or record investment documents (Section 9) act as service providers in that process unless the applicable offering documents state otherwise.
Eligibility and permitted use
You may use the Site only for lawful purposes. You agree not to engage in:
- Unauthorized access to any portion of the Site or its systems.
- Interference with the Site's security or operation.
- Automated scraping that burdens the Site or degrades it for others.
- Circumvention of access controls, including the Investor Center gate.
- Misrepresentation or impersonation, or submission of false investor or contact information.
- Introduction of malicious code.
- Any use that violates securities, privacy, export-control, sanctions, intellectual-property, or other applicable laws.
Ordinary search-engine indexing and good-faith automated access consistent with the Site's robots directives are welcome.
Investor Center and restricted materials
Some materials — including the Investor Center — are available only to invited or authorized persons. If you are granted access:
- Sign-in credentials, one-time codes, and access links are personal to you and must not be shared.
- Restricted materials may contain confidential, proprietary, financial, strategic, or legally sensitive information, and may carry their own confidentiality notices or be subject to separate confidentiality agreements. Where they do, those notices and agreements govern.
- Access may be limited, suspended, or revoked at any time.
- Access to materials does not create a right to invest, a right to receive future information, or any advisory or fiduciary relationship.
Third-party platforms and links
The Site links to, and the investment process may rely on, services operated by third parties — for example AnglerPass and other portfolio platforms' websites, document-preparation and electronic-signature providers such as Clerky, cap-table providers such as Pulley, and infrastructure services that host and protect the Site.
- Third parties operate under their own terms and privacy policies, which apply to information you submit to them directly.
- Territory Holdings is not responsible for independent third-party content, availability, security, or practices.
- A link does not by itself constitute endorsement.
This section addresses independent third parties. It does not disclaim the relationships Territory Holdings actually has: portfolio platforms it owns or supports are described accurately on the Site.
Intellectual property
Unless otherwise indicated, the Territory Holdings and territory-platform names and marks, the Site's design, editorial structure, text, graphics, photography, video, software, and other company-created materials are owned by or licensed to Territory Holdings.
- Limited personal, noncommercial viewing of the Site is permitted.
- Reproduction, republication, commercial exploitation, or creation of misleading derivative materials requires written permission.
- Third-party names and marks remain the property of their respective owners.
Use expressly authorized in the Territory Holdings Brand Kit — including the logo files and brand-token assets it offers for download — remains governed by the permissions and rules stated there. The Brand Kit asks that co-branded materials, press placements, and partner announcements be sent for review before publication.
User submissions and communications
When you submit information through the Site — an investor inquiry, a contact request, or correspondence:
- You represent that the information is accurate and that you have the authority to provide it.
- Territory Holdings may use it to respond, evaluate the inquiry, administer its business, and comply with law, as described in the Privacy Policy.
- Submission does not create an advisory, fiduciary, partnership, agency, employment, or investment relationship.
Territory Holdings does not claim ownership of ideas you submit. Unsolicited ideas, proposals, and suggestions are received on a nonconfidential basis and should not be considered confidential unless covered by a written agreement signed by Territory Holdings.
Forward-looking statements
The Site contains forward-looking statements — statements about platform launches, market opportunities, growth, revenue models, product development, partnerships, conservation plans, financing, hiring, operations, and future performance. Words like “will,” “intends,” “plans,” “expects,” “future,” “in development,” and “in survey” often mark them.
Forward-looking statements are based on current assumptions and expectations. They involve risks and uncertainties, and actual outcomes may differ materially. Territory Holdings undertakes no obligation to update any forward-looking statement on the public Site except as required by law or by the terms of an applicable offering.
Website availability and accuracy
The Site may be modified, suspended, or discontinued, in whole or in part, at any time. Territory Holdings works to keep the Site useful and current but does not guarantee that all public website content is complete, current, or error-free.
This section does not alter obligations contained in official offering documents or imposed by applicable law.
Disclaimer of warranties
To the extent permitted by law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied — including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, secure, or free of errors or harmful components.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing here limits warranties or obligations set out in an executed securities or other definitive agreement.
Limitation of liability
To the extent permitted by law, Territory Holdings and its directors, officers, employees, and agents will not be liable for indirect, consequential, incidental, exemplary, special, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of or relating to use of the public Site, even if advised of the possibility of such damages.
To the extent permitted by law, the aggregate liability of Territory Holdings for claims arising out of or relating to use of the public Site will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid directly to Territory Holdings specifically for use of the Site during the twelve months preceding the claim.
Nothing in this section limits or alters the liability, remedies, or rights established by an executed securities agreement or other definitive investment document, or any liability that cannot be limited or waived under applicable law — including liability under federal and state securities laws.
Indemnification
You agree to indemnify and hold harmless Territory Holdings and its directors, officers, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your unlawful use of the Site, your violation of these Terms, or infringement caused by material you submit.
This obligation applies to misuse of the website. It does not require any investor to indemnify Territory Holdings for investment losses.
Governing law and venue
These Terms of Use, and any dispute arising out of use of the public Site, are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. The state and federal courts located in Denver County, Colorado will have exclusive jurisdiction over such disputes, and each party consents to their jurisdiction.
These Terms do not alter the governing-law or dispute-resolution provisions of any SAFE, subscription agreement, stockholder agreement, offering document, certificate of incorporation, bylaws, or other definitive agreement — including provisions governed by Delaware law.
Changes to these terms
Territory Holdings may change these Terms by posting an updated version on this page and revising the effective or last-updated date at the top. Changes apply from posting; continued use of the Site after a change means the revised Terms apply to that use. We do not promise individualized notice to anonymous website visitors.
Severability and waiver
If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. A failure by Territory Holdings to enforce a provision is not a waiver of it, and no waiver is effective unless made in writing.
Entire agreement and document priority
These Terms and the Privacy Policy constitute the entire agreement between you and Territory Holdings regarding general use of the public Site, and they supersede prior understandings on that subject.
Separate signed agreements and official offering documents govern the matters they address and take priority over these Terms in the event of a conflict (Section 6).
